Terms and Condition

1. Parties

This agreement (“Agreement”) is made between:
– The Supplier (Vendor): Company/Individual registered on the platform.
– The Platform (“Bnyan Digital”): Provider of the online marketplace services.

2. Purpose

The Platform provides the Supplier with an online space to display and sell products such as tiles, marble, porcelain, ceramics, and related materials. The Platform acts only as an intermediary and is not responsible for product quality, delivery, or disputes between Supplier and Customers.

3. Supplier Obligations

1. Provide accurate product information (specifications, prices, images, stock availability).
2. Respond to customer inquiries through the platform within 24 hours.
3. Take full responsibility for product quality, compliance with specifications, and after-sales service.
4. Refrain from direct or indirect dealings with customers outside the platform for orders initiated through the platform.
5. Ensure all product information and materials are legally owned and free of third-party claims.
6. Provide samples to customers when required, in line with platform policies.
7. Issue quotations through the platform including final prices, delivery terms, and updated stock.

4. Platform Obligations

1. Provide technical services for listing and promoting products.
2. Facilitate communication between Suppliers and Customers.
3. Not be held liable for:
   – Product quality or delivery.
   – Losses from use of the platform.
   – Disputes between Suppliers and Customers.

5. Commission & Payments

1. The Platform is entitled to a commission of 2% on every successful sale made through the platform.
2. Payments are settled either:
   – Through cash on delivery, remitted directly to the Platform, or
   – Via direct bank transfer as agreed.

6. Suspension & Termination

The Platform reserves the right to suspend or terminate Supplier accounts if:
– Products are found to be fake, misleading, or non-compliant.
– The Supplier violates the “no direct dealing” rule.
– Actions by the Supplier damage the reputation of the Platform.

7. Confidentiality

The Supplier shall maintain confidentiality of all customer and platform information and shall not disclose it to third parties.

8. Governing Law

This Agreement shall be governed by the applicable laws of Qatar (or other relevant jurisdiction) and disputes shall be resolved by arbitration or competent courts.

9. Acceptance

By registering as a Vendor, the Supplier confirms having read, understood, and agreed to the terms of this Agreement.
